Introduction

OTTOdms, Inc. (“OTTOdms”, “we”, “us”, or “our”) owns and operates the MFG Platform, an online marketplace connecting buyers of custom parts to manufacturers (the “MFG Platform” or “Platform”), which Otto makes available to buyers and manufacturers (“you” or “user”) via the mfg.com and ottosoftware.com websites (the “Sites”). The MFG Platform, the Sites, and all services, features, functionality, content, materials, software, and offers we provide through the Sites and Platform are collectively referred to herein as the “MFG Services” or the “Services.

We respect your privacy and are committed to complying with this privacy policy (“Privacy Policy”), which describes our privacy practices including the data we collect about you, how we collect and use your Data, with whom we may share it, your Data choices and rights. 

As used in this Privacy Policy, “Data” means information that is collected by OTTOdms, which may include personal data that can be used to directly or indirectly identify you, or is reasonably linkable to you, as well as analytical data, which may be anonymized, pseudonymized, or aggregated.

This Privacy Policy applies to your use of the Sites, the MFG Platform, and the Services, as well as when you contact us or otherwise interact with us.

Changes to Our Privacy Policy

We may change this Privacy Policy at any time. The most recent version of the Privacy Policy is reflected by the effective date at the top of this Privacy Policy. All amendments to this Privacy Policy will be effective immediately upon providing notice thereof, which we may give by any means, including by posting a revised version of the Privacy Policy on the Services. 

Personal Data Collection

OTTOdms collects Data through the Sites, the MFG Platform, and the Services. This includes the following categories:

  • Personal Information, Account Information, and Contact information, such as:
    • Name;
    • Username and password;
    • Email address;
    • Address;
    • Phone number;
  • Company Information, such as:
    • Information you provide in the MFG Platform;
    • Business address and contact information;
    • Business entity type;
    • Specifications;
    • Product descriptions;
    • Product images;
  • Financial Information, such as:
    • Payment information, including card type and last four digits of the card number;
    • Receipts from electronic payment information from our third-party service providers (PayPal, Stripe, ApplePay, Square, Venmo, etc.);
    • or other financial information;
  • Account preferences, such as:
    • Language;
    • Location;
    • Currency;
  • Communication with us, such as:
    • Customer support calls, emails, and chats;
    • Reviews and Feedback;
    • Responses to surveys
  • Information collected automatically through tracking technology when you visit the Sites, the MFG Platform, or use our Services, such as:
    • IP address;
    • Cookies;
    • Beacons;
    • Scripts;
    • Other internet, device, or network information, such as your interactions;
  • Inferences drawn from any of the above information, and
  • Any other data you may choose to provide to us in connection with your account, subscription membership, or use of the Sites, the MFG Platform and our Services. 

Online Tracking/Third Party Tracking Technologies

When you visit our Sites and use the MFG Platform and our Services, OTTO dms and our third-party service providers may utilize online tracking technologies, as described below. 

Cookies. A “cookie” is a text file sent to the device of a visitor of our Services to uniquely identify the visitor’s device or to store information or settings in the visitor’s device. Through utilizing cookies, we may collect information about how you interact with the MFG Platform and Services. This may include information such as the dates and time you visit the Sites, Platform, and Services, referring and exit URLS, how you interact with the Sites, Platform, and Services, your browser type, and the domain name of your internet service provider. We may also collect information about the devices you use to access the Sites, MFG Platform, and Services, including your device make and model, IP address, geolocation data, operating system, and other unique device identifiers.

Web Beacons. Pages of the Website and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit Company, for example, to count users who have visited those pages or opened an email and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity). 

Pixels. A pixel is a tiny snippet of code that gathers information about visitors on a website, which may include how you browse, what type of ads you click on, and other behaviors. One type of pixel is a clear gif, which are transparent, 1×1 pixel images that allow us to track the effectiveness of our marketing efforts and understand user behavior by collecting data on page views, email opens, and other interactions. This information helps us improve our services and tailor content to better meet the needs of our users. 

Scripts. A tracking script is a snippet of code written in languages such as JavaScript, which is added to the HTML of a web page or within an application. This script runs in the background when the page loads or when specific events occur, collecting data that is then sent to a server for analysis, such as page views, click events, form submissions, and session durations. A script may be used to transmit user information.

OTTO dms also uses several third party data analytic products and services, including Google Analytics, Pendo, Userguiding and Mixedpanel.  We use such products and services for various data insights including to better understand how you use MFG and the Services and to analyze user behavioral.  Please be advised that these third parties are beyond the scope of this Privacy Policy may collect information in connection with our Services. We may also use session-replay technologies which employ software code to record users’ interactions with the Services in a manner that allows us to watch video replays of those user sessions.

Data Use

OTTOdms uses the Data we collect for the following purposes:

  • Operating and providing our Sites, the MFG Platform and the Services to you;
  • Creating and managing your accounts and subscriptions;
  • Processing your payments;
  • Personalizing and Improving MFG, our Services, user experience, and our business through insights, analytics, and predictions; 
  • Security purposes, including monitoring, risk assessment, addressing integrity and security issues related to MFG, the Services, and fraud and crime prevention and detection;
  • Communicating with you and for customer service and support related purposes;
  • Promotional, marketing, and advertising related purposes; 
  • Other business purposes, including, without limitation, market, product, and service research and development, analytics, verifying your identity, investigating complaints, and dispute resolution;
  • Complying with legal obligations, law enforcement, and legal processes, and to protect our rights, privacy, safety or property, and/or that of our affiliates, users, business partners, service providers, or other third parties;
  • Complying with or as permitted by any OTTO dms policies and any applicable legal requirements; and
  • Engaging in other activities discussed under this Privacy Policy or other business activities engaging in by OTTO dms.

Data Disclosure

We may share and disclose your Data to:

  • Other MFG users and subscribers in connection with the Services and MFG Platform, including but not limited to requests for quotes, order management tools, and our transaction services;
  • Affiliates, subsidiaries, business partners or third-party providers to provide MFG, the Services and for the purposes set out in this Privacy Policy. Such third-party providers perform functions such as payment processing, operating, hosting, and supporting the MFG Platform and Services, analyzing data, or performing marketing or consulting services. These service providers and third parties may include use with artificial intelligence (AI) and large language models (LLMs), such as to extract image data from photos, view insights, find connections, make predictions, suggest costs and estimates, notice patterns, spot analytical trends, improve effectiveness, and to otherwise optimize the Services and MFG Platform. We do not use your Data to train any AI or LLMs.
  • Professional advisors, such as lawyers, auditors, bankers, and insurers, in the course of the professional services they render to us. 
  • Law enforcement, in response to a subpoena or court order, or for other legal purposes such as to establish or exercise our legal rights, to assert or defend against legal claims, or if we believe such disclosure is necessary to investigate, prevent, or take other action regarding actual or suspected illegal or fraudulent activities or potential threats to the physical safety or well-being of any person.
  • Advertising networks and other providers to tailor advertising and offers presented to you based on your interactions with the MFG Platform and Services. 
  • Third parties in connection with a merger, asset sale, financing, investment, liquidation, bankruptcy, or dissolution during the course of such transaction.  In any such transactions, your personal information is a company asset that may be sold or transferred to third parties.

Data Choices

We provide users with the following options to manage the privacy of their Data.

  • Correct your Data. You can edit and correct certain Data at any time by changing it in your account profile.
  • Access your Data and obtain a portable copy. You may request a copy of the Data we have about you by contacting us as set forth below in the “Contact Us” section.
  • Delete your Data. You may ask us to delete your Data by contacting us as set forth below in the “Contact Us” section.
  • Cookies and other tracking technologies. You can manage browser Cookies through your browser settings. The ‘Help’ feature on most browsers will tell you how to prevent your browser from accepting new Cookies, how to have the browser notify you when you receive a new Cookie, how to block Cookies, and when Cookies will expire. If you block all Cookies on your browser, neither we nor third parties will transfer Cookies to your browser. If you do this, however, you may have to manually adjust some preferences every time you visit the Tern Platform and some Services and features may not work. You may also be able to opt-out of interest based advertising by visiting the NAI Opt-Out Page or the Choices Opt-Out Page.
  • Manage marketing communications from us. To update your marketing communication preferences, you can go to your account settings or contact us as set forth below in the “Contact Us” section. You may also unsubscribe using the link found at the bottom of all marketing and promotional emails. 
  • Opt-out of certain processing of your information, including sales of your information, processing of your sensitive data, control of use of automated decision-making. To exercise any of these rights, please contact us as set forth below.

You will not be discriminated against for exercising one or more of these rights. We will need to verify your identity before processing any request. To do so, we will attempt to match information contained in your request with information already maintained on our system. If necessary, we may ask you to provide additional information for verification. 

Data Safeguards

OTTO dms strives to implement reasonable safeguards designed to protect the security of the Data that we collect. However, despite these controls, we cannot completely ensure or guarantee that unauthorized access, hacking, data loss, or other breach will never occur. In the event of a breach, we will endeavor to take reasonable steps to investigate the situation and, where appropriate, notify affected individuals as required by applicable laws and regulations.

Data Retention

OTTO dms will only keep your Data while you are a current customer or otherwise accessing the MFG Platform, using the Services, or visiting the Site, as needed to provide our Services to you, or for so long as it is necessary for the purposes set out in this Privacy Policy, unless a longer retention period is permitted or required by law (such as tax, accounting, or other legal requirements) or applicable data retention policies.

After a prolonged period of account inactivity, we may delete your Data.  Upon your written request we will delete Data stored by us; however, we may be required to maintain your Data for as long as necessary to: (i) comply with our legal or regulatory compliance needs (e.g., maintaining records of transactions you have made with us); (ii) exercise, establish, or defend legal claims; and/or (iii) protect against fraudulent or abusive activity on the MFG Platform or in connection with our Services.

Children

Our Services are not intended for or directed to children under the age of 18. We do not knowingly collect personal information from children. If you believe we may have collected personal information from a child under 18, please contact us as specified below in the “Contact Us” section.

International Data Transfers

We process and store your Data in the United States and in any other country where our business partners or service providers operate facilities in accordance with and as permitted by applicable laws and regulations. Some of these countries may have data protection laws that are different from the laws of your country (and, in some cases, may not be as protective).

When we transfer, store, or process Data outside of your jurisdiction (including to or in the United States, as described above), we take appropriate safeguards to require that your Data remain protected in accordance with this Privacy Policy and applicable law. Privacy Policy Updates

From time to time, we may change or update our Privacy Policy. We reserve the right to make changes or updates at any time. If we make material changes that meaningfully impact the way we process your Data, we will notify you by posting a notice on the MGF Platform, by sending you an e-mail, or by other means consistent with applicable law.
